vGRID App - User Terms
These User Terms apply when you sign in to, access, or use the vGRID App. They govern platform access, user conduct, account security, data handling, and operational use.
- Application
- These User Terms apply to all individuals who access or use the vGRID App, including personnel of subscribers, producers, government agencies, law enforcement agencies, contractors, and other authorised platform users.
- By accessing or using the vGRID App, you agree to these User Terms. If you do not agree to these User Terms, you are not authorised to access or use the vGRID App and you must immediately stop doing so.
- If you access or use the vGRID App on behalf of an organisation, you confirm that you are authorised to do so and that your access and use is for that organisation's permitted purposes.
- These User Terms apply in addition to any agreement between us and your User Organisation, including any vGRID Subscriber Terms (as applicable), vGRID Enterprise Subscription Agreement, customer master services agreement, vGRID Producer Agreement, order form, or service schedule.
- If there is any inconsistency between these User Terms and an agreement between us and your User Organisation, that organisation-level agreement prevails to the extent of the inconsistency. These User Terms continue to apply to your individual access and conduct.
- Your access to the vGRID App may also be subject to your User Organisation's policies, directions, training, and lawful instructions. You are responsible for complying with those requirements.
- Definitions
- In these User Terms:
- Account means the account, login, identity, or credential used to access the vGRID App.
- Content means data, images, video, audio, metadata, text, information, and other content available in, uploaded to, transmitted through, or generated by the vGRID App.
- Organisation Content means Content owned, controlled, uploaded, generated, or otherwise made available by or on behalf of your User Organisation.
- Producer means an organisation that contributes, connects, shares, or otherwise makes camera, ANPR, sensor, metadata, or other operational data available through the vGRID App.
- Producer Data means Content made available through the vGRID App by or on behalf of a Producer.
- SaferCities, we, us, or our means the contracting entity specified in clause 14.
- Subscriber means an organisation that has a paid or other authorised subscription or service arrangement for access to the vGRID App.
- Third Party Content means Content owned, controlled, uploaded, generated, or otherwise made available by a person other than you, your User Organisation, or us.
- User Organisation means the organisation on whose behalf, or under whose authorisation, you access or use the vGRID App, including a Subscriber, Producer, government agency, law enforcement agency, employer, contractor, customer, or other authorised organisation.
- User Terms means these vGRID App User Terms.
- vGRID App means the software platform known as the vGRID App, including its web, mobile, API, and related platform features.
- Website means the internet site at safercities.com, vgrid.io, or such other site notified to you by us.
- You or your means the individual accessing or using the vGRID App.
- Words in the singular include the plural and vice versa.
- Authorised Access
- You may only access and use the vGRID App, Content, Producer Data, Third Party Content, and Organisation Content:
- To the extent you have been authorised by us, your User Organisation, or the relevant Producer or Subscriber;
- For the lawful operational, safety, security, compliance, investigation, or other permitted purposes for which your access was granted;
- In accordance with these User Terms, applicable laws, and your User Organisation's policies and lawful directions; and
- In accordance with any access conditions, retention settings, sharing rules, or usage restrictions applying to the relevant Content.
- You must not access or use any Content unless you have a legitimate and authorised purpose for doing so.
- You must not use the vGRID App or Content for personal, speculative, unauthorised, discriminatory, improper, or unlawful purposes.
- Access permissions may be granted, changed, or revoked by us, your User Organisation, or the relevant Producer or Subscriber. You must immediately stop accessing or using the vGRID App or Content if your authorisation ends or is suspended.
- You may only access and use the vGRID App, Content, Producer Data, Third Party Content, and Organisation Content:
- Account Security
- You are responsible for keeping your Account credentials secure and confidential.
- You must not share, transfer, disclose, or allow any other person to use your Account or credentials.
- You must use multi-factor authentication, single sign-on, or other security controls where required by us or your User Organisation.
- You must promptly notify us and your User Organisation if you become aware of, or suspect, any unauthorised access, compromise, misuse, loss, or disclosure of your Account, credentials, the vGRID App, or any Content.
- You must keep your Account information accurate and must not impersonate another person, misrepresent your identity, or misrepresent your authority to act on behalf of any person or organisation.
- Acceptable Use
You must not:
- Attempt to undermine, bypass, probe, disable, or interfere with the security, integrity, availability, or operation of the vGRID App or any underlying system;
- Access, copy, export, download, scrape, bulk extract, aggregate, or disclose Content except where authorised and only to the extent necessary for your permitted use;
- Use the vGRID App or Content for unauthorised surveillance, profiling, tracking, monitoring, investigation, or intelligence gathering;
- Use the vGRID App or Content in a way that breaches privacy, data protection, surveillance, law enforcement, employment, human rights, or other applicable laws;
- Upload, transmit, input, store, or share Content that is unlawful, misleading, defamatory, obscene, harmful, threatening, harassing, discriminatory, malicious, infringing, or otherwise objectionable;
- Introduce viruses, malware, harmful code, or other material that may damage, disrupt, or compromise the vGRID App or any person, system, or network;
- Reverse engineer, decompile, copy, modify, or create derivative works from the vGRID App except to the extent expressly permitted by law;
- Remove, obscure, or alter any proprietary notice, audit log, watermark, metadata, access control, or security feature;
- Use automated tools, bots, scripts, or integrations with the vGRID App unless authorised by us in writing or through an approved API or integration; or
- Do anything that may impair another user's ability to access or use the vGRID App or that may bring us, the vGRID App, or any User Organisation into disrepute.
- Data Access and User Responsibility
- You acknowledge that Content available through the vGRID App may include personal information, sensitive operational information, live or recorded video, ANPR data, location information, metadata, and information relating to public safety, security, investigations, or incidents.
- You are responsible for ensuring that your access to and use of Content is authorised, necessary, proportionate, and lawful in the circumstances.
- You must only use Content for the purpose for which access was granted and must not reuse, disclose, publish, transfer, retain, or combine Content for any other purpose unless authorised and lawful.
- You must comply with any retention, deletion, classification, evidence handling, disclosure, or chain-of-custody requirements that apply to your use of Content.
- You acknowledge that access permissions may be configured by your User Organisation, a Producer, a Subscriber, or us, and that the existence of technical access does not by itself mean that a particular use is authorised or lawful.
- You must not rely on the vGRID App or Content as the sole basis for making decisions where independent verification, professional judgement, operational assessment, or legal process is required.
- Privacy and Legal Compliance
- You must comply with all privacy, data protection, surveillance, evidence, official information, law enforcement, employment, and other laws and policies that apply to your access to and use of the vGRID App and Content.
- You must only collect, view, use, disclose, export, or retain personal information through the vGRID App where you have authority to do so and where doing so is necessary for your authorised purpose.
- Where your User Organisation is a law enforcement agency, government agency, regulated entity, or other organisation with specific statutory or policy obligations, you must comply with those obligations when using the vGRID App.
- Our collection, use, storage, and processing of personal information in connection with the vGRID App is described in our applicable privacy policies available on the Website.
- Monitoring, Audit, and Investigations
- You acknowledge that we may monitor, record, and audit access to and use of the vGRID App and Content, including logins, searches, views, exports, downloads, configuration changes, sharing activity, API activity, and other user actions.
- We may use audit logs and usage information to operate, secure, support, improve, and protect the vGRID App, to investigate suspected misuse, and to comply with legal, regulatory, contractual, and operational requirements.
- We may disclose audit logs and usage information to your User Organisation, a relevant Producer or Subscriber, law enforcement, regulators, courts, or other persons where we reasonably consider disclosure is authorised, required, or appropriate for security, compliance, investigation, or legal purposes.
- You must cooperate with any reasonable investigation into suspected unauthorised access, misuse, security incidents, privacy incidents, or breaches of these User Terms.
- Intellectual Property
- The vGRID App, Website, software, interfaces, designs, documentation, and underlying systems are owned by us or our licensors. You do not acquire any ownership rights in them.
- Subject to your compliance with these User Terms and your continuing authorisation, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the vGRID App for your authorised purposes.
- Ownership of Producer Data, Organisation Content, and Third Party Content remains with the relevant owner or rights holder.
- If you provide ideas, comments, suggestions, or feedback relating to the vGRID App, we may use that feedback for any purpose without obligation to you.
- Availability and Third-Party Systems
- We use reasonable efforts to provide the vGRID App, but we do not guarantee that the vGRID App or any Content will be available, uninterrupted, error free, complete, current, or free from harmful code.
- The vGRID App may depend on third-party systems, networks, cameras, gateways, devices, integrations, data sources, browsers, identity providers, and services. We are not responsible for any unavailability, delay, error, or limitation caused by those third-party systems or services.
- Content available through the vGRID App may be provided by Producers, Subscribers, User Organisations, or other third parties. We do not verify all Content and are not responsible for the accuracy, completeness, legality, or availability of third-party Content.
- You may subscribe to incident notification emails at status.vgrid.io.
- Suspension and Termination
- We may suspend, restrict, or terminate your access to the vGRID App or any Content at any time if:
- We reasonably consider that you have breached these User Terms;
- Your User Organisation, a Producer, or a Subscriber asks us to remove or restrict your access;
- Your Account appears to be compromised or used without authority;
- Suspension, restriction, or termination is necessary or appropriate for security, operational integrity, privacy, legal, regulatory, or compliance reasons; or
- The agreement or authorisation under which you access the vGRID App expires or terminates.
- You must immediately stop using the vGRID App and any Content if your access is suspended, restricted, revoked, or terminated.
- Clauses which by their nature are intended to survive suspension or termination continue in force, including clauses relating to confidentiality, data handling, intellectual property, monitoring and audit, liability, and general provisions.
- We may suspend, restrict, or terminate your access to the vGRID App or any Content at any time if:
- Liability
- These User Terms govern your individual access and conduct. Liability between us and your User Organisation may be addressed in the applicable organisation-level agreement.
- To the maximum extent permitted by law, we are not liable to you for any indirect, consequential, incidental, special, or punitive loss, or for any loss of profit, revenue, savings, business, goodwill, data, or Content, arising out of or in connection with your access to or use of the vGRID App.
- To the maximum extent permitted by law, the vGRID App and Content are provided to you on an as-is and as-available basis for your authorised operational use.
- Nothing in these User Terms limits or excludes any liability that cannot lawfully be limited or excluded.
- Changes
- We may change these User Terms at any time by updating them on the Website or making updated terms available through the vGRID App.
- Unless stated otherwise, changes take effect immediately. By continuing to access or use the vGRID App after the User Terms are changed, you agree to be bound by the changed User Terms.
- You are responsible for ensuring you are familiar with the latest User Terms.

- Governing Law and General
- If you access the vGRID App through a User Organisation, the contracting entity, governing law, and jurisdiction may be set out in the agreement between us and your User Organisation. Otherwise, the table below applies.

- If any part or provision of these User Terms is or becomes illegal, unenforceable, or invalid, that part or provision is deemed to be modified to the extent required to remedy the illegality, unenforceability, or invalidity. If modification is not possible, the part or provision must be treated as severed from these User Terms. The remainder of these User Terms will continue in force.
- For us to waive a right under these User Terms, that waiver must be in writing and signed by us.
