vGRID Product Warranty

  1. Application
    1. This product warranty (Product Warranty) applies to all Hardware Products whether sold by SaferCities or by an authorised SaferCities reseller or distributor.
    2. In this Product Warranty unless the context requires otherwise:
      1. Defective means a failure of the Hardware Product to meet the warranties in clause 2. Defect has a corresponding meaning;
      2. Documentation means the user and technical documentation for the Hardware Product available on our website at safercities.com or otherwise provided by us;
      3. Hardware Product means a vGRID Gateway or Screen Share device;
      4. SaferCities, we, our, or us means the party specified in clause 7;
      5. Warranty Period means 3 years following delivery to you of a Hardware Product; and
      6. You or your means the end-user purchaser or recipient of a Hardware Product.
  2. Warranty
    1. We warrant that during the Warranty Period and under normal use the Hardware Product will:
      1. Be free from material defects in materials or workmanship; and
      2. Comply with the applicable Documentation in all material respects.
  3. Warranty Services
    1. If during the Warranty Period the Hardware Product is Defective, we will at our option repair or replace the Hardware Product. This Product Warranty applies to the repaired or replaced Hardware Product for the remaining portion of the original Warranty Period. We reserve the right to elect in our sole discretion to give you a refund of the purchase price instead of a repair or replacement.
    2. If you believe that the Hardware Product is Defective, please email support@safercities.com for instructions.
    3. If possible, we will try to resolve and/or diagnose the issue remotely. You must follow the troubleshooting instructions as provided by us.
    4. If we determine through remote evaluation that the Hardware Product is or appears to be Defective, we will provide you with a return material authorisation (RMA) number and instructions for returning the Hardware Product to us for further evaluation. You must not return the Hardware Product to us unless we have provided you with an RMA number or otherwise confirmed our written agreement to the return of the Hardware Product.
    5. You must pay any shipping costs, taxes, or duties associated with returning the Hardware Product. In addition, you are responsible for insuring any Hardware Product shipped or returned and assume all risk of loss or damage during transportation.
    6. If the Hardware Product is found to be Defective and provided none of the exclusions in clause 4.1 apply, we will:
      1. Repair or replace the Hardware Product as described above; and
      2. Reimburse the reasonable costs of returning the Hardware Product.
    7. Potential charges apply if the returned Hardware Product is found not to be Defective or if any of the exclusions in clause 4.1 apply.
  4. Exclusions
    1. This Product Warranty does not extend to any Hardware Product:
      1. From which the serial number has been removed or defaced; or
      2. That has become Defective as a result of:
        1. Accident, misuse, or abuse;
        2. Damage caused by sand, dirt, water, liquid, impact, or other external causes;
        3. Failure to follow the installation or usage instructions for the Hardware Product in the Documentation (including being installed or operated outside the environmental and usage parameters stated in the Documentation);
        4. Use of the Hardware Products in a manner contrary to any applicable laws or not within SaferCities’ reasonable contemplation;
        5. Use with parts or accessories not manufactured or sold by SaferCities; or
        6. Modification or service by anyone other than SaferCities or a SaferCities authorised service provider.
    2. We do not warrant that operation of the Hardware Product will be uninterrupted or error-free.
    3. To the extent permitted by law, we expressly exclude all warranties or representations, either express or implied, not expressly set out in this Product Warranty, including any warranties as to merchantability or fitness for purpose (including fitness for a particular purpose), and any warranties that may not by law be excluded are limited in duration to the Warranty Period.
    4. The Hardware Product is not designed for consumer use and is intended to be used for business and commercial purposes only. To the extent permitted by law, we exclude all consumer guarantees in relation to the Hardware Products.
  5. Liability
    1. Our maximum aggregate liability to you in connection with the Hardware Product will not exceed the amount paid by you for the Hardware Product. We are not liable to you for any loss of profit, revenue, savings, business, data, goodwill, or any consequential, indirect, incidental, or special damage or loss of any kind.
  6. Exclusive Statement
    1. This Product Warranty supersedes any prior agreements or representations in relation to the Hardware Product, including any representations made in SaferCities sales literature or advice given by us or an agent or employee of SaferCities in connection with the purchase of a Hardware Product.
    2. You acknowledge that you accept the terms of this Product Warranty to the exclusion of any standard terms you may have for purchases. No modification, alteration, or addition to this Product Warranty will be binding on us unless accepted in writing by an authorised SaferCities signatory.
  7. Warranting Entity and Governing Law
    1. If you purchased the Hardware Product from Safer City Group Limited, a New Zealand company, company number 3514694 (SaferCities NZ), or an authorised SaferCities distributor or reseller in New Zealand or any other country other than Australia:
      1. This Product Warranty is provided by SaferCities NZ;
      2. This Product Warranty is governed by and must be interpreted in accordance with the laws of New Zealand; and
      3. The courts of New Zealand will have non-exclusive jurisdiction in relation to any dispute connected with this Product Warranty.
    2. If you purchased the Hardware Product from SaferCities Pty Ltd, an Australian company, ACN 674 682 654 (SaferCities AU), or a SaferCities distributor or reseller in Australia:
      1. This Product Warranty is provided by SaferCities AU;
      2. This Product Warranty is governed by and must be interpreted in accordance with the laws of New South Wales; and
      3. The courts of New South Wales and the Commonwealth of Australia will have non-exclusive jurisdiction in relation to any dispute connected with this Product Warranty.
  8. General
    1. Any illegality, unenforceability, or invalidity of a provision of this Product Warranty does not affect the legality, enforceability, or validity of the remaining provisions.
    2. Any variation to this Product Warranty must be in writing and signed by both parties.
